ARTICLE 1
RULES OF ORDER

Roberts' Rules of Order (Revised) shall be authority on all questions of procedure not specifically covered in this Constitution and Bylaws.

ARTICLE 2
ELECTIONS

Section 1. The Elections Committee shall conduct the election of officers and the Executive Committee by mail ballot of the full dues-paying membership by May 1.  Nominations for the various offices may be made from the floor at a Chapter meeting in April or by filing a declaration of candidacy petition with the Elections Committee signed by five or more regular members no later than three days after the April Chapter meeting referred to in this paragraph.  The new officers shall assume office on September 1. 

Section 3.  The Elections Committee shall preserve all ballots (marked, unmarked and void) and all other records pertaining to the election of officers of this chapter for one year from the date the election was held, and such ballots and other records shall be made available to the OEA officers and any members of the YSU-APAS upon request for inspection and examination.

ARTICLE 3 
DUTIES OF OFFICERS

Section 1. The President shall preside at all meetings of the Chapter and of the Executive Committee; shall appoint the chairperson of all ad hoc committees, unless otherwise indicated in these Bylaws, subject to the approval of the Executive Committee; shall assign the various members of the Executive Committee to serve as liaison with Chapter committees; shall be a member (but not the chair) of the negotiating team, shall be one of the chapter delegates to the OEA and NEOEA Representative Assembly, shall be a member of HEAC; and shall be the chief spokesperson of the Chapter.

Section 2. The Vice-President shall assist the President in the performance of his or her duties; shall assume all the duties of the President in case of absence, resignation, or recall, and shall be the Editor of the Chapter newsletter. 

Section 3. The Treasurer/Membership Coordinator shall keep a financial record of the organization; shall be responsible for collection of revenue and disbursement of funds as authorized by the Executive Committee; shall submit quarterly financial reports to the membership; shall prepare the annual budget in May for consideration by the Executive Committee; shall be in charge of membership maintenance and expansion; and shall coordinate membership services.

Section 4. The Secretary shall serve as Recording Secretary and maintain a permanent record of all meetings of the Chapter and of the Executive Committee; shall distribute to the membership agenda and minutes of all Chapter meetings; and shall serve as Chapter Historian. 

Section 5. The At-Large Representatives shall report recommended policies and other actions of the Executive Committee to the membership; and shall transmit proposals and recommendations from the membership of the Executive Committee for its consideration. They shall also serve as Grievance Officers for the duration of the term. 

Section 6. Upon leaving office all officers shall turn over current and active Chapter records to their successors and all other Chapter records to the Secretary.

 ARTICLE 4 
EXECUTIVE COMMITTEE 

Section 1. Upon the Executive Committee shall rest the duties, responsibilities, and authority for all business and all matters of the Chapter, except as stated otherwise in this Constitution and Bylaws.

Section 2. The Executive Committee shall establish a regular schedule of meetings. Special meetings of the Executive Committee may be called by the President or by a request of a majority of the members of the Executive Committee. 

Section 3. A member of the Executive Committee, by reason of absence without reasonable cause from three consecutive meetings of the Executive Committee, or resignation, shall no longer be considered as holding that office to which he or she has been elected or appointed. The Executive Committee shall appoint a replacement, except in the case of a President whose post shall be filled by the Vice- President. 

Section 4. The approval of the Executive Committee shall be required before a grievance is advanced to arbitration.

Section 5. The Executive Committee shall oversee and coordinate the activities of all standing and ad hoc committees, and all such committees shall be responsible to and report to the Executive Committee. 

Section 6. The Executive Committee shall periodically review the membership lists to assure that all persons listed are eligible for membership. 

Section 7. All regular meetings of the Executive Committee shall be open to the membership of the Chapter. However, the Executive Committee may conduct closed meetings to deal with contract negotiation, legal matters and any other business which requires confidentiality to protect the rights and interests of YSU/APAS/OEA/NEA of its members.

ARTICLE 5 
COMMITTEES

Section 1. The following shall be standing committees of the Chapter: Audit, Elections, Negotiations, Legislative, Job Evaluations, and Executive Committee.

Section 2. Other committees may be established by the Executive Committee as the need arises, or may be established by the general membership at any meeting of the Chapter.

Section 3. All standing committees shall establish their own rules of procedure which shall be consistent with this Constitution and Bylaws, and which shall be placed on record with the Executive Committee and the local OEA Uniserv office.

Section 4. The Executive Committee shall annually appoint an Audit Committee, which shall consist of three individuals from the membership. The Audit Committee shall annually review the accounting records and budgetary procedures of the Chapter and report its findings to the Executive Committee. This report shall be available to the membership. 

Section 5. The Elections Committee shall consist of three individuals elected by the membership by May 15 during an elections. The term of office shall be three years beginning on September 1. The Elections Committee shall supervise, coordinate, and certify all Chapter and bargaining unit elections to the Executive Committee and to the membership. The Elections Committee shall elect its own chairperson, and appoint tellers from the membership as is necessary to conduct elections quickly and efficiently. The Executive Committee shall supervise, coordinate and certify the election of the members of the Elections Committee. 

Section 6. The Negotiations Committee shall consist of one member for every twenty-five full dues-paying members and major fraction thereof elected by the membership in April of the academic year preceding negotiations. The chapter President is a member of the Negotiating Committee by virtue of office. The term of office for the elected members shall extend until the next negotiating team is elected. The Negotiations Committee shall represent the bargaining unit in negotiations with the Board of Trustees and its agents. The committee shall be empowered to prepare proposals for negotiations and to revise those proposals as it deems proper during negotiations. The Negotiations Committee shall submit the proposed Master Agreement to the members of the bargaining unit for a ratification vote, excepting those declared ineligible by result of the Executive Committee's review of membership. The Negotiations Committee shall represent the bargaining unit both in negotiations of the Master Agreement and follow-up negotiations which flow out of the Master Agreement . The Negotiations Committee shall elect its own chairperson. 

Section 7. The Legislative Committee shall consist of three (3) individuals appointed by the Executive Committee within its first month of office. The term of office shall be three years. The Legislative Committee shall study and propose improvements in Federal and State legislation, shall screen candidates for public office to determine their commitment to higher education and shall transmit information on educational issues to the membership. The Legislative Committee shall elect its own chairperson. 

Section 8. The Grievance Committee shall consist of five (5) members. If there are less than five (5) At-Large Representatives, and thereby Grievance Officers, the difference in number shall be appointed by the Executive Committee during the first month of each academic year. The term of office shall be three (3) years. The Grievance Committee shall administer and coordinate processing of grievances under the terms of the Master Agreement. The members of the Grievance Committee shall be referred to as Grievance Officers. Grievance Officers shall counsel bargaining unit members prior to filing of a grievance. The Grievance Committee shall elect its own chairperson. In the event of a vacancy of the Grievance Committee, the remaining members shall recommend to the Executive Committee a replacement to serve the unexpired term. 

Section 9. The Job Evaluation Committee shall consist of three (3) individuals appointed by the Executive Committee in its first month of office. The term of office shall be three (3) years.

ARTICLE 6
MEETINGS

Section 1. This organization shall conduct general membership meetings at least once per academic term during each academic year. The Executive Committee shall set the meeting dates and plan the meeting programs.

Sections 2. Special meetings of the organization may be called by the Executive Committee, or upon the request of ten percent of the membership. 

Section 3. The order of business at a general membership meeting shall be as follows, unless changed by a vote of the membership present: 

a.  Secretary's Report 
b.  Treasurer's Report 
c.  Committee Reports 
d.  Special Reports 
e.  Old Business 
f.   New Business

ARTICLE 7
DUES AND DISSOLUTION

Section 1. The Chapter shall charge dues as required for support staff by its affiliates (NEA/OEA/NEOEA), full UniSerc dues and the Chapter's local dues which shall be established by the Executive Committee annually. 

Section 2. If the Chapter dissolves, its cash assets shall be transferred to Youngstown State University for student scholarships. Section 3. The Membership Year of the Chapter shall be July 1 through June 30. The Fiscal Year of the Chapter shall be September 1 through August 31.

ARTICLE 8
QUORUM

A quorum for the transaction of business at all Chapter meetings shall be ten percent of the full dues-paying membership.

ARTICLE 9
EXPENSES

Individuals who are on official Chapter business and who incur financial expenses in such business shall be reimbursed by the Treasurer for the actual expenses and for automobile travel at a rate set by the Executive Committee. The Treasurer shall require receipts and other appropriate evidence to assure that such expenses are reasonable.
