CONSTITUTION
(revised December 1999)



ARTICLE 1
NAME AND AFFILIATION

The name of this organization shall be the Youngstown State University Association of Professional Administrative Staff (YSU/APAS/OEA/NEA). This organization shall be an affiliate of the National Education Association (NEA), the Ohio Educational Association (OEA), and the Northeast Ohio Education Association (NEOEA).

ARTICLE 2
PURPOSE

The purpose of the Youngstown State University Association of Professional Administrative Staff shall be to promote the professional and economic interests of the professional administrative staff of Youngstown State University.

ARTICLE 3
MEMBERSHIP

Section 1. Membership shall be available to any professional administrative staff member of YSU except those excluded by law. 

Section 2. Members of YSU/APAS/OEA/NEA shall also be members of the NEA, the OEA, and the NEOEA. 

Section 3. A full dues-paying member is entitled to vote, to hold office, and to serve on committees of the organization.

ARTICLE 4
AMENDMENTS

Section 1. An amendment to this constitution may be introduced at any regular chapter meeting of the organization by the Executive Committee, or by a petition signed by 25% of the membership, or 20 members, whichever is smaller. A two-thirds (2/3) majority of those voting in a mail ballot shall be required to adopt the proposed amendment.

Section 2. An amendment to the bylaws may be introduced at any regular meeting of the organization by the Executive Committee, or by a petition signed by 25% of the membership, or 20 members, whichever is smaller. A simple majority of those voting in a mail ballot shall be required to adopt the proposed amendment.

 ARTICLE 5
OFFICERS AND EXECUTIVE COMMITTEE

Section 1. The officers of this chapter, elected by the membership, shall consist of a President, Vice-President, Treasurer/Membership Coordinator, and Secretary. The Executive Committee shall consist of the officers of the organization and the elected At-Large Representatives and the elected OEA/NEOEA and HEAC representatives.

Section 2. There shall be one elected At-Large Representative for each 30 members or major fraction thereof, one elected part-time member, and one elected representative from YSU satellite offices.

Section 3. No person shall hold the same office for more than two consecutive three-year terms.

ARTICLE 6
RECALL OF OFFICERS

Any officer(s) may be recalled for misfeasance, malfeasance, or nonfeasance. Charges to this effect may be made by a majority of the members of the Executive Committee, or by virtue of a petition signed by at least twenty-five chapter members. Special charges in such cases shall be sent to a Review Panel which shall study the charges and make findings of fact and appropriate recommendations to the membership. The Review Panel shall consist of five members drawn at random from the full dues-paying membership by the Elections Committee. Within one month after the Review Panel reports to the membership, the Elections Committee shall conduct a referendum in which the membership votes to retain or dismiss the officer(s) charged. A two-thirds vote of those voting in a mail ballot shall be required to dismiss an officer(s). A vacancy in the office of President shall be filled by the Vice-President. A vacancy in other offices shall be filled by appointment of the Executive Committee, except that if both the President and the Vice-President are recalled, an election supervised by the Elections Committee will be held within fifteen days to elect officers to fill the vacancies for the unexpired terms. The remaining Executive Committee members shall administer the Chapter until the vacancies are filled. In the event that the entire Executive Committee is recalled, the chairperson of the Negotiations Committee shall act as President until the vacancies are filled by an election.
